General Terms and Conditions

This page tells you (“you” being the person contracting with Orbital Training and Consulting for courses and training) the terms and conditions on which we (“we”, “us” or “Orbital Training and Consulting”) supply courses, events.  Please read these terms and conditions carefully before booking work with us on any project.  You should also be aware by booking any course, event or training session you are bound by these terms and conditions.  You are advised to print a copy for future reference.

Fees and costs

Fees payable to Orbital Training and Consulting by clients for our services, unless otherwise stated in the individual agreement, will be the fees chargeable at date of provision.  Should the provision of services be over a period of time the fees payable will either be current to at the date of service (unless based on a fixed fee), current at the date of invoice, or payable based on the cost of materials purchased and time calculated per work completed.

Any fees payable can only be altered if they are not stated as being fixed and will only increase in line with variation in materials costs, day rates or other relevant variations since the agreement of works.

Expenses

Fees quoted do not include travel, meals and other relevant expenses which shall be payable by the client.  Orbital Training and Consulting will provide copies of receipts with the invoices.

How to Pay

On-line payments are handled by via our shopping cart and Paypal.  Payment can be made by invoice, credit card, debit card, cheque, bank transfer and PayPal.  American Express is currently not accepted. 

If you are paying by credit card an additional 2% processing fee will be applied to your bill.

VAT charges

All the fees quoted are exclusive of VAT.   This amount will be shown on the invoice separately.  We will send you a VAT invoice to cover the payment amount.

Terms of Payment

Our fees are due in accordance with these terms unless otherwise stated on individual agreements.  All training services shall be paid no later then 14 working days before the commencement of the training.  Where services relate to consulting, 50% of the service fees shall be paid no later than fourteen working days prior to the start of the session.  Where Orbital Training and Consulting are providing a service over a period of time the client will be invoiced at regular intervals and the client shall pay the invoices within fourteen working days.

Changes or cancellations to advertised courses

We make every effort to ensure the prices, contents, dates are correct at time of being published.   If an error in the pricing is apparent before you have confirmed booking of the course we will contact you and give you the option to accept at the correct price or cancel the course.    In the event of a course cancellation Orbital Training and Consulting will make every effort to transfer your booking to the next available course at your preferred location. It should be noted that we hold no liability for any costs/losses incurred as a result of such changes.  If we are not able to provide your course, we will ask you to return any course material supplied (at our cost) in the condition they were sent to you and we will refund any fees paid up to the time of the cancellation.  Orbital Training and Consulting reserves the right to change prices listed without prior notice.

Cancellations of bookings

If you wish to cancel a course booking your request must be received in writing.  A refund can be arranged on written request if the invoice has been paid in full, and if no other courses are pending from the same organization.  Course cancellations incur charges based on the date of receipt of the written notice.  A credit note will be raised in accordance with the charges.

Course Transfers

If you wish to transfer to another course a request must be received in writing stating reason for alteration and the preferred course you wish to book on to.  Course transfers will incur a fee based on the date of receipt of a written request as show below and are subject to a £35.00 administration fee.  Please note:  bookings may only be transferred once.

Course Substitutions

Substitutions can be made for the original nominee up to two days before the course start date, unless examinations have been ordered in the name of the intended delegate.

Fee refunds

If you wish to exercise your right in cancelling a course booking, Orbital Training and Consulting will refund the fees paid in accordance with our cancellation policy. 

Provision of Services

All service requests will not be binding unless they are confirmed with a booking form, purchase agreement or signed contract of works.  All clients are requested to provide a valid purchase order number. Any of our literature including brochures, website or leaflets are not binding and reasonable variations may be made to our products or services without prior notice.  Orbital Training and Consulting reserves the right to cancel, alter or re-schedule training courses and events without prior notice to the client and if this to be case, a full refund of course fees already paid to the client shall apply.  We reserve the right to refuse services or provide a reduced service should our clients delegates not satisfy the course requirements / prerequisites.

Written communications

It is a legal requirement that some of the information we send you should be in writing.  When you use the website, you accept that communications received by us will be mainly electronic.  We will contact you by e-mail or provide you with information by posting notices on our website.  For contractual purposes, you agree to this electronic means of communication and you acknowledge that all contracts, notices, information and other communications that we provide to you electronically comply with any legal requirements that such communications be in writing.  This condition does not affect your statutory rights.

Copyright of materials

All materials provided by Orbital Training and Consulting for our courses including graphics, text, software, audio, music and design are owned by Orbital Training and Consulting, our third party course providers or delivery staff.  No content in whole or in any part of Orbital Training and Consulting materials may be copied, reproduced, uploaded, posted, displayed, linked to or used in any way without the prior written permission of Orbital Training and Consulting.  Any such use is strictly prohibited and will constitute an infringement of the copyright and other intellectual property rights of Orbital Training and Consulting, or in the case of material licensed to Orbital Training and Consulting, the owner of this material.

Use of Company’s name

Orbital Training and Consulting Ltd name and logo may not be used except with our written consent and with logos provided by us to be used in accordance with our current branding.

Intellectual Property rights

Orbital Training and Consulting and where applicable, our third party course providers or delivery staff shall retain all right, title and interest in all intellectual property rights or proprietary rights, which we own.  Our clients are not entitled to any Intellectual Property rights which include our documents, materials and training guides, nor must may they copy, reproduce, sell, distribute, publish or circulate any IPR without our prior written consent.  It is possible that Orbital Training and Consulting will produce when requested by a client, new products, and materials and provide new services, which will contain new IPR.  Orbital Training and Consulting will own all rights to the IPR and allow the client to use the materials for internal business purposes only and providing that the client shall not copy, reproduce, distribute, sell publish or circulate without our written prior consent.

Confidentiality

Any commercial information belonging to Orbital Training and Consulting shall be kept confidential.  We ask that our clients keep all our confidential information confidential for a period of two years after the completion of the current agreement.  Within this our clients may not disclose any confidential information without our prior written authorisation.  Our clients are able to share details of our confidential information with current employees who need to know in order to complete the agreement, but they need to be legally bound to keep such information.

Limitation of Liability

Orbital Training and Consulting shall not be liable for lost profits, loss or corrupted data, loss of business or loss caused by supply of inaccurate information or any omitted information as not passed on by the client.  The total liability for this agreement for any losses or damages shall not exceed the price payable for the services payable.

Data Protection Act

Orbital Training and Consulting is registered under the provisions of the UK Data Protection Act 1998.  Any personal data concerning our delegates in kept in confidence.  Please refer to the Orbital Training and Consulting Code of Practice for Data Protection.

Computer Viruses

Orbital Training and Consulting will make every effort to ensure that all software installed onto a client machine will be free of computer viruses once virus checking procedures have been carried out.  Orbital Training and Consulting shall not be liable for any damages to any client or third party equipment as a direct result of any virus caused through software implementation.

Course Disclaimer

Attendance by a delegate onto a training course, including courses offering formal qualification and certificate of completion, does not provide a guarantee of performance, quality, workmanship or status of the delegate within future work placements.

Orbital Training and Consulting reserve the right to ask any candidate to leave the course if they arrive excessively late or miss any part of the course and/or if it is believed it will impact on the result on completion or affect other delegates.  The course fees will still apply.

Orbital Training and Consulting does not accept any liability for delegate belongings whilst they are attending our courses. This includes laptops, books or personal belongings.

Termination

The term of our agreement shall be set out in the client proposal.  Orbital Training and Consulting may terminate or suspend the agreement at our discretion upon ten working days notice if the client ceases to do business, becomes insolvent or seeking protection from bankruptcy.  Termination also applies if clients fail to make payments in accordance with our terms.

Warranties

At the time of the agreement both client and Orbital Training and Consulting must warrant they have the authority and are able to enter into the agreement.  Orbital Training and Consulting will work with the clients to advise on the best services to fit their business requirements, although the responsibility lies solely with the client.  No information whether it is from our literature or verbally shall be construed to vary the terms of the agreement with our client.

Alteration to Terms and Conditions

Orbital Training and Consulting reserves the right to modify these terms and conditions without prior notice.  Any changes will be made and added to the information on our website.  Should any existing clients not accept the changes they should notify us in writing and the previous terms and conditions shall govern for the remaining term of that specific agreement.
